SolGold PLC is a mineral exploration and development company that carries a diverse portfolio of exploration and development projects in Ecuador, Australia, and Chile. It is focused on mineral exploration and development in the Andean copper belt in Ecuador. The company's sole material project is the Cascabel Project, located within the Imbabura province of northern Ecuador. In addition, it holds interests in the Chical, Rio Amarillo, Chillanes, Salinas, Coangos, Cisne Victoria, Cisne Loja, and various other projects. Its operating segments are the Cascabel project, Other Ecuadorian projects, All other projects, and Corporate.
SolGold PLC agreed to an all-cash acquisition by Jiangxi Copper (Hong Kong) Investment Company Ltd, following earlier approaches. The board, after shareholder consultation, unanimously recommended the transaction for shareholders- consideration. JCHK is SolGold’s largest shareholder and is familiar with the Cascabel project and exploration portfolio.
JCHK received irrevocable undertakings from BHP Billiton Holdings and Newcrest International. Including director holdings, stated support is about 28.5%, with at least 75% required for approval. SolGold expects completion in the first quarter of 2026. JCC indicated further work and investment would be undertaken to develop Cascabel using its technical and financial resources.
